EZ APPS LLC, a Nevada limited liability company ("Company," "we," "us," or "our"), provides technology-related services, including but not limited to web development, networking, artificial intelligence solutions, and miscellaneous technical support (collectively, the "Services"), subject to your unconditional acceptance of these Terms. Your use of our website (located at https://www.ezappsllc.com) or engagement with any Services constitutes your agreement to these Terms in their entirety. If you do not agree, you must immediately cease all use of the Services. We reserve the right to amend these Terms at our sole discretion, with such changes effective upon posting to this page.
2. Eligibility and Authority
To use the Services, you must be at least 18 years of age and possess the legal capacity to enter into binding contracts under applicable law. By signing up, you represent and warrant that you meet these requirements and, if acting on behalf of an entity (e.g., corporation, non-profit, or government agency), that you are duly authorized to bind such entity to these Terms. Any unauthorized use is strictly prohibited and shall render this agreement voidable at our discretion.
3. Account Registration and Security
Access to certain Services requires account registration. You agree to provide true, accurate, current, and complete information during registration and to maintain its accuracy. You are solely responsible for safeguarding your account credentials and for all activities conducted under your account, whether authorized by you or not. 4. Scope of Services
The Services encompass a range of technology solutions as described on our website or in specific agreements. We reserve the absolute right to modify, suspend, or discontinue any Service—or any feature thereof—at any time, with or without notice, and without liability to you or any third party. All deliverables are provided "as is," and your use is at your sole risk.
5. User Obligations and Conduct
You agree to use the Services solely for lawful purposes and in a manner consistent with these Terms. You shall not: (a) engage in any activity that interferes with or disrupts the Services, including uploading malware, viruses, or other harmful code; (b) attempt to gain unauthorized access to our systems or networks; (c) use the Services to infringe upon any third-party rights; or (d) misrepresent your identity or affiliation. Any violation may result in immediate termination of your access, without refund or recourse, and we reserve the right to pursue all available legal remedies.
6. Payment and Fees
Fees for Services, if applicable, will be outlined in a separate agreement or quote provided by EZ APPS LLC. All payments are due in full as specified, in U.S. dollars, and are non-refundable under any circumstances, including but not limited to dissatisfaction with the Services, termination of this agreement, or failure to use the Services. You assume all risk of cost overruns, and we disclaim any obligation to provide Services beyond the scope of prepaid fees. Failure to pay may result in suspension or termination of Services without liability to us.
7. Intellectual Property
All content, software, designs, and materials provided by EZ APPS LLC in connection with the Services remain our exclusive property or that of our licensors, protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use such materials solely for the purpose of engaging with the Services as intended. You shall not reproduce, distribute, modify, or create derivative works without our express written consent. Any intellectual property you provide to us remains yours, but you grant us a worldwide, royalty-free, perpetual license to use it as necessary to perform the Services.
8. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EZ APPS LLC DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR MEET YOUR EXPECTATIONS. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE, INCLUDING LOSS OF DATA, SYSTEM FAILURE, OR THIRD-PARTY ACTIONS.
9. Limitation of Liability
IN NO EVENT SHALL EZ APPS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE PRECEDING SIX (6) MONTHS, IF ANY. YOU HEREBY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF AGAINST US BEYOND THIS LIMIT.
10. Indemnification
You agree to indemnify, defend, and hold harmless EZ APPS LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any law or third-party rights; or (d) any content or data you provide to us. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.
11. Termination
We may terminate or suspend your access to the Services at our sole discretion, with or without cause, and with or without notice, effective immediately. Upon termination, your right to use the Services ceases, and we shall have no obligation to retain or provide access to your data. Sections 7 through 14 of these Terms shall survive termination. You may terminate your account at any time, but such termination shall not entitle you to refunds or release you from obligations accrued prior to termination.
12. Force Majeure
EZ APPS LLC shall not be liable for any failure or delay in performing the Services due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, labor disputes, governmental actions, power outages, or internet failures. In such events, our obligations shall be suspended without liability until performance becomes reasonably practicable.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration in Clark County, Nevada, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover its reasonable attorneys' fees and costs. You waive any right to participate in a class action or jury trial against us.
14. Miscellaneous
These Terms constitute the entire agreement between you and EZ APPS LLC regarding the Services, superseding all prior agreements or understandings. No waiver of any provision shall be effective unless in writing and signed by us. If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. You may not assign these Terms without our prior written consent; we may assign them freely. Notices to you may be sent via email or posted on our website, effective upon transmission or posting.
